These Terms of Service ("Terms") govern your access to and use of our website and services, including but not limited to automation, software, workflow, and consultation services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

By using the Services, you confirm that you are at least 18 years of age or have the legal capacity to enter into a binding contract in your jurisdiction. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Byte Headz provides professional services, including the development, implementation, and management of business process automations. These automations may be set up in our own environments or, where agreed upon, within your company's environment. The specific details, scope, and deliverables of any project will be outlined in a separate Service Agreement or Statement of Work ("SOW").

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use the Services in a manner consistent with all applicable laws and regulations and these Terms. You are also responsible for the data and content you provide to us or that we access within your systems.

You agree to pay all fees and charges associated with your use of the Services as outlined in the applicable SOW. All payments are non-refundable unless otherwise stated in the SOW.

All intellectual property rights in the Services, including any software, scripts, code, and documentation developed by Byte Headz, remain our exclusive property. Unless otherwise agreed to in a separate, written agreement, any intellectual property created for you in the course of providing the Services will be licensed to you for your internal business use, but ownership of the underlying intellectual property remains with Byte Headz.

Both parties agree to keep all confidential information secret and confidential. "Confidential Information" includes, but is not limited to, trade secrets, business plans, financial data, customer data, and any non-public information. This obligation of confidentiality will survive the termination of these Terms.

To the fullest extent permitted by law, Byte Headz will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Byte Headz disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or free from errors.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Florida to resolve any legal matter arising from these Terms.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
